Board and Alternate Director Changes

Mr Ryan Krogmeier has been appointed as a director of Caltex
Australia Limited (Caltex) with effect from 30 March 2012 to fill a
casual vacancy on the Board. Mr Krogmeier's appointment follows the
resignation of Mr Brant Fish as a director with effect from
29 March 2012. Mr Fish's resignation follows his appointment
to a new role with Chevron, as Vice President, Americas Products,
West Downstream & Chemicals.
Mr Krogmeier has over 20 years of experience in the oil and gas
industry, particularly in the areas of crude and products supply
and trading, risk management and financial operations. He has
recently been appointed as the Global Vice President of Joint
Ventures and Affiliates for Chevron International Products and was
previously the Vice President - Americas East, Caribbean and Latin
America for Chevron, in which he was responsible for strategy and
profits for Chevron's downstream fuels business in the
region.
The Board has determined that Mr Krogmeier is not an independent
director due to his service as an executive with Chevron.
The Board has approved the appointment of Ms Colleen
Jones-Cervantes as an alternate director for Mr Krogmeier with
effect from 30 March 2012. As a result of Mr Fish's resignation, Ms
Jones-Cervantes's appointment as his alternate director
automatically ends on 29 March 2012.

- Appendix 3X - Initial Director's Interest Notice, on
behalf of Caltex and Mr Krogmeier; and
- Appendix 3Z - Final Director's Interest Notice, on
behalf of Caltex and Mr Fish.
